TaxCue Terms of Use
Effective date: September 15, 2026
These Terms are an agreement between you and Serein Ventures LLC (“we”, “us”) for the TaxCue app and related services (“TaxCue”). By creating an account or using TaxCue, you agree to these Terms and to the TaxCue Privacy Policy. If you don’t agree, don’t use TaxCue.
What TaxCue is — and isn’t
TaxCue helps business owners understand how a business purchase may be treated for U.S. federal and California tax purposes, answers tax questions using a curated set of official sources, and organizes purchase records and supporting evidence.
TaxCue provides informational software assistance. It is not a substitute for a CPA, attorney, enrolled agent or other qualified professional, and it does not provide tax, legal, accounting or financial advice. We are not a CPA firm, an enrolled agent or a law firm, and using TaxCue does not create a professional relationship.
- Tax outcomes depend on your facts and on applicable law. Results follow from the information you provide and from the rules and sources TaxCue covers, which are limited — currently U.S. federal rules and California state rules.
- Results can be incomplete, out of date or wrong, including results produced with artificial intelligence. TaxCue shows the sources and assumptions behind an answer so you can check them.
- You are responsible for reviewing your records and your filing positions. TaxCue does not prepare or file returns, and it is your decision what to report.
- TaxCue does not guarantee any deduction, tax saving, eligibility, filing outcome or result in an audit.
Review significant, unusual or uncertain situations with a qualified tax professional before you act on them.
Eligibility and accounts
You must be at least 18 years old and use TaxCue for a business you own or are authorized to manage. Keep your sign-in details secure and tell us promptly about any unauthorized use of your account. You’re responsible for activity in your account.
Your information and content
You keep ownership of the information, photos, documents and messages you add (“Your Content”). You give us permission to host, process and transmit Your Content, including through the service providers described in the Privacy Policy, in order to provide TaxCue to you. You’re responsible for the accuracy of Your Content and for having the right to add it — including another person’s name, contact details or signature on a private-sale purchase record.
Subscriptions (TaxCue Pro)
- TaxCue Pro unlocks purchase checks, Ask TaxCue answers, receipt reading and Tax File building. Without an active subscription you can still sign in, view and export your existing records, and delete your data or your account.
- Plans are offered as auto-renewable monthly and annual subscriptions through Apple’s App Store, at the prices shown in the app before you buy. New subscribers may be eligible for a free trial as shown in the app.
- Payment is charged to your Apple Account when you confirm the purchase, or when a free trial ends. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period.
- Manage or cancel a subscription in your Apple Account settings. Deleting your TaxCue account does not cancel the subscription.
- Refunds are handled by Apple under Apple’s policies.
- We may change plans or prices for future periods as the App Store permits, with notice.
Acceptable use
Don’t:
- misuse, interfere with or disrupt TaxCue, or try to reach another user’s data;
- reverse engineer the service except to the extent the law allows;
- use TaxCue to create false records or evidence, to mislead a tax authority, or for any unlawful purpose;
- upload content you don’t have the right to add;
- use automated means to extract data from TaxCue or to overload the service.
Our property
TaxCue, including its software, design and content — other than Your Content and public-domain government sources — is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app on Apple devices you own or control, as permitted by the App Store’s Usage Rules, for your business purposes.
Ending use
You can delete your account at any time in the app (Profile → Your data → Delete account). We may suspend or end access if you break these Terms or if the law requires it. Sections that by their nature should survive the end of these Terms will survive.
Disclaimers
TaxCue is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don’t warrant that TaxCue will be uninterrupted, error-free, or that its results will be accurate or suitable for your situation.
Limitation of liability
To the fullest extent permitted by law, Serein Ventures LLC and its members, managers, employees, contractors, agents, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, tax penalties, interest, audit costs or similar losses arising out of or relating to TaxCue or these Terms, even if we were advised that such damages were possible.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to TaxCue or these Terms will not exceed the greater of (a) the amount you paid to Serein Ventures LLC for TaxCue during the 12 months before the event giving rise to the claim or (b) $100.
These limitations do not apply where applicable law does not allow them.
Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Serein Ventures LLC and its members, managers, employees, contractors and agents from third-party claims, damages, liabilities, costs and reasonable attorneys’ fees arising from:
- Your Content;
- your unlawful or fraudulent use of TaxCue;
- your violation of these Terms; or
- your violation of another person’s rights.
This obligation does not require you to indemnify us for our own fraud, willful misconduct, or other liability that cannot legally be shifted to you.
Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
Except where applicable law gives you the right to bring a claim elsewhere, any dispute arising out of or relating to TaxCue or these Terms will be brought in the state or federal courts located in Santa Clara County, California, and you and Serein Ventures LLC consent to those courts’ jurisdiction.
Nothing in this section limits rights you may have under mandatory consumer-protection laws or your ability to bring an eligible claim in small-claims court.
Apple App Store terms
These Terms are between you and us, not Apple. Apple isn’t responsible for TaxCue or its content, and has no obligation to provide maintenance or support for TaxCue. If TaxCue fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the app; to the maximum extent permitted by law, Apple has no other warranty obligation. We, not Apple, are responsible for addressing claims relating to TaxCue, including product liability, legal or regulatory compliance and consumer protection claims, and for investigating and resolving any claim that TaxCue infringes a third party’s intellectual property. You represent that you aren’t located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you aren’t on a U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party terms — for example your wireless data agreement — when using TaxCue. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Changes to these Terms
We may update these Terms. We’ll post the new version with a new effective date and, for material changes, tell you in the app or by email. Continuing to use TaxCue after a change takes effect means you accept it.
